1. Introduction

Welcome to ChiwawaPay (“ChiwawaPay”, “we”, “us”, or “our”).

These Terms of Service (“Terms”) govern your access to and use of the ChiwawaPay platform, website, applications, APIs, payment services, P2P marketplace, and related services (“Services”).

ChiwawaPay is operated by CHIWAWA PayTech Ltd, registered in Tanzania.

By creating an account, accessing, or using any ChiwawaPay Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must stop using our Services.

2. About ChiwawaPay

ChiwawaPay is a digital payments and financial technology platform that enables individuals and businesses to send, receive, manage, and process payments online.

Our Services may include:

  • Digital payment processing.

  • Merchant payment solutions.

  • Payment APIs and integrations.

  • Settlement services.

  • Transaction management tools.

  • Peer-to-peer (“P2P”) cryptocurrency trading services.

ChiwawaPay may provide different services depending on your location, account type, verification status, and regulatory requirements.

3. P2P Cryptocurrency Marketplace

ChiwawaPay may operate a peer-to-peer marketplace that allows users to buy and sell supported digital assets directly with other users.

Supported digital assets may include:

  • Bitcoin (BTC).

  • Tether (USDT).

ChiwawaPay provides technology that allows users to:

  • Create and accept cryptocurrency trade offers.

  • Communicate with counterparties.

  • Manage trades.

  • Use available escrow and dispute tools.

ChiwawaPay does not act as the buyer or seller of cryptocurrency. Users trade directly with each other and are responsible for evaluating and accepting their own transactions.

ChiwawaPay may add, remove, or modify supported digital assets at any time.

4. Eligibility

To use ChiwawaPay Services, you must:

  • Be at least 18 years old or legally capable of entering into a binding agreement.

  • Be legally permitted to use our Services in your jurisdiction.

  • Provide accurate, complete, and verifiable information.

  • Complete identity verification or business verification when required.

  • Maintain only one authorized account unless otherwise approved.

You are responsible for ensuring your use of ChiwawaPay complies with applicable laws and regulations.

5. Account Registration and Security

You are responsible for maintaining the security of your account.

You must:

  • Keep your login credentials confidential.

  • Enable available security features.

  • Avoid sharing account access with third parties.

  • Immediately notify ChiwawaPay of suspected unauthorized access.

You must not use another person’s account or provide false registration information.

ChiwawaPay will never request your password, private keys, or wallet recovery phrases.

ChiwawaPay is not responsible for losses resulting from unauthorized access caused by your failure to protect your account.

6. Acceptable Use

You agree to use ChiwawaPay only for lawful purposes.

You must not use our Services for:

  • Fraud, scams, or deceptive activities.

  • Money laundering or terrorist financing.

  • Illegal trade or prohibited activities.

  • Unauthorized payments.

  • Stolen funds or fraudulent transactions.

  • Market manipulation.

  • Account selling, sharing, or misuse.

  • Payments involving prohibited goods or services, including illegal drugs, weapons, counterfeit goods, or other restricted activities.

ChiwawaPay may suspend or terminate accounts involved in suspicious or prohibited activity.

7. Payment Services and Transactions

ChiwawaPay processes transactions using supported payment methods, which may include:

  • Mobile money.

  • Bank transfers.

  • Cards.

  • Other approved payment methods.

Transaction completion depends on payment providers, financial institutions, network availability, and compliance checks.

You acknowledge that:

  • Settlement times may vary.

  • Payments may be delayed for security or regulatory review.

  • Completed transactions may not always be reversible.

  • Third-party payment providers may affect transaction processing.

You are responsible for providing accurate payment information.

8. P2P Trading Rules

Users creating cryptocurrency offers must provide accurate information, including:

  • Cryptocurrency amount.

  • Exchange rate.

  • Payment method.

  • Trade conditions.

Before confirming a trade, users are responsible for reviewing all transaction details.

Users must not:

  • Submit false payment confirmations.

  • Use unauthorized payment accounts.

  • Use third-party payments without approval.

  • Reverse payments after receiving cryptocurrency.

9. Escrow and Trade Protection

Where available, ChiwawaPay may provide escrow functionality to temporarily secure cryptocurrency during a trade.

Escrow services are designed to reduce transaction risks but do not guarantee successful completion of a trade.

During disputes, users may be required to provide:

  • Payment evidence.

  • Transaction records.

  • Communication history.

  • Other relevant information.

ChiwawaPay may release, return, restrict, or otherwise manage escrowed assets based on available evidence and platform rules.

10. Fees and Charges

You agree to pay applicable fees for ChiwawaPay Services.

Fees may apply to:

  • Payment processing.

  • Cryptocurrency trades.

  • Withdrawals.

  • Premium services.

  • Other platform features.

Applicable fees will be displayed before confirmation where possible.

ChiwawaPay may update fees from time to time with appropriate notice.

11. Cryptocurrency Risks

Cryptocurrency transactions involve risks, including:

  • Price volatility.

  • Regulatory changes.

  • Blockchain delays.

  • Wallet security risks.

  • Incorrect transaction details.

  • Loss caused by user error.

ChiwawaPay does not guarantee cryptocurrency prices, profits, market availability, or transaction outcomes.

Users trade digital assets at their own risk.

12. Refunds and Disputes

Refunds are handled according to applicable refund procedures, payment network rules, and platform policies.

For payment disputes or chargebacks:

  • ChiwawaPay may temporarily hold funds.

  • Users must cooperate with investigations.

  • Users may be required to provide supporting documents.

ChiwawaPay may make decisions regarding disputes based on available evidence and applicable rules.

13. Data Protection and Privacy

ChiwawaPay collects and processes personal information according to our Privacy Policy and applicable data protection laws.

Information may be used for:

  • Identity verification.

  • Payment processing.

  • Fraud prevention.

  • Account security.

  • Regulatory compliance.

  • Service improvement.

You consent to necessary processing and transfers of information required to provide our Services.

All ChiwawaPay trademarks, software, designs, logos, systems, and related materials are owned or licensed by Chiwawa PayTech Ltd.

You may not copy, modify, distribute, or use our intellectual property without written permission.

15. Wallet Responsibility

Users are responsible for their own cryptocurrency wallets.

ChiwawaPay is not responsible for losses caused by:

  • Incorrect wallet addresses.

  • Lost private keys.

  • Wallet security failures.

  • Blockchain network errors.

16. Account Suspension and Termination

ChiwawaPay may suspend, restrict, or terminate accounts if:

  • These Terms are violated.

  • Fraud or illegal activity is suspected.

  • Security risks exist.

  • Verification requirements are not completed.

  • Required by law or regulatory authorities.

Users may request account closure, but outstanding transactions, disputes, or obligations must be resolved first.

17. Compliance and Reporting

ChiwawaPay complies with applicable financial regulations, including requirements from relevant Tanzanian authorities.

We may share information with regulators, law enforcement, or authorized parties where required by law.

Users are responsible for their own tax, financial, and reporting obligations.

18. Limitation of Liability

To the maximum extent permitted by law, ChiwawaPay is not responsible for:

  • Cryptocurrency price losses.

  • User-to-user disputes.

  • Incorrect transaction details.

  • Blockchain failures.

  • Payment provider failures.

  • Network outages.

  • Service interruptions.

ChiwawaPay’s total liability for any claim shall not exceed the fees paid by the user to ChiwawaPay during the three (3) months preceding the event giving rise to the claim.

19. Changes to These Terms

ChiwawaPay may update these Terms from time to time due to operational improvements, legal requirements, or regulatory changes.

Continued use of ChiwawaPay after updates means you accept the revised Terms.

20. Governing Law

These Terms are governed by the laws of the United Republic of Tanzania.

Any disputes arising from these Terms shall be resolved according to Tanzanian law and applicable courts.
